  1. Payments via cheque, wire transfer, or PayPal should be made payable to "Raising Web Solutions, Delhi." Work will commence once we receive your acceptance, required information, and initial payment.
  2. Raising Web Solutions will not be liable for any lost profits, business, or other damages resulting from the operation or non-operation of a website or related service.
  3. In the event of delayed payments, a late payment penalty of 1.5% per month will apply, along with any legal fees for collection.
  4. Applicable taxes will be levied as per the prevailing rates.
  5. Neither party may solicit employees from the other during the engagement and for a period of 24 months thereafter without prior consent.
  6. This agreement cannot be assigned or subcontracted without mutual written consent, except in cases where Raising Web Solutions engages third-party service providers while remaining responsible for deliverables.
  7. Clients must guarantee ownership or permission for all materials provided to Raising Web Solutions for project use and indemnify the company against any third-party claims.
  8. Copyrights and ownership of designs or source code developed by Raising Web Solutions during the project will transfer to the client upon final payment.
  9. Any disputes will be handled under the jurisdiction of New Delhi, India.
  10. This proposal represents the sole agreement between Raising Web Solutions and the client. Any additional work will require a separate estimate or amendment.
  11. Clients must provide all text and images. In the absence of client-provided materials, Raising Web Solutions may source images from the internet. Clients are responsible for ensuring no copyright issues arise post-delivery.
  12. If payments are subject to tax deductions, clients must provide TDS certificates. Fees are exclusive of taxes and levies.
  13. If a client terminates a project midway, the initial advance will not be refunded.
  14. If a client terminates a project midway, the initial advance will not be refunded.
  15. In legal proceedings, liability will be limited to the amount charged to the client.

Website Development Project

  1. The Cheque / Money Order / Wire Transfer / PayPal Payments will be payable to “Raising Web Solutions, Delhi. We will be pleased to start the project promptly after we receive your acceptance of our proposal, the requested information and applicable professional fees.
  2. At no event will Raising Web Solutions be liable to the Client or any third party for any damages, including any lost profits, lost business, lost savings or other incidental, consequential or special damages arising out of the operation of or inability to operate the presentation application.
  3. In case collection proves necessary, Client agrees to pay all legal or third-party involvement fees incurred in that process and late payment penalty, compounded interest of 1.5% per month on the remaining amount due.
  4. All the applicable taxes will be levied as per actual.
  5. For purposes of this paragraph, “Employee” shall mean current employees or persons employed prior to the referenced project. During the period of performance of services by Raising Web Solutions hereunder and for twenty-four (24) months thereafter, (i) Raising Web Solutions agrees not to solicit or induce any Employee of Client to terminate his or her employment with the Client or to hire any Employee of Client without the prior written approval of Client, and (ii) Client agrees not to solicit or induce any Employee of Raising Web Solutions to terminate his or her employment with Raising Web Solutions or to hire any Employee of Raising Web Solutions without the prior written approval of Raising Web Solutions.
  6. Neither this Agreement, any Statement of Work or any rights or licenses granted hereunder may be assigned, delegated or subcontracted by any party without the written consent of the other party, except that (i) a party may assign and transfer this Agreement and any Statement of Work and its rights and obligations hereunder and thereunder to any third party which succeeds to substantially own all of its business and assets or assign or transfer any rights to receive payments hereunder, and (ii) Raising Web Solutions may subcontract its obligations hereunder to any wholly-owned subsidiaries of Raising Web Solutions or third-party service providers, provided that Raising Web Solutions remains primarily liable to Client hereunder, including with respect to the acts and omissions of any such parties employed or engaged by Raising Web Solutions. However, Client may not assign or transfer this Agreement to a direct competitor of Raising Web Solutions.
  7. Client represents to Raising Web Solutions an unconditional guarantee that all elements of text, graphics, photos, designs, trademarks, source code or other artwork furnished to Raising Web Solutions for inclusion in the web pages are owned by Client, or that Client has permission from the rightful owner to use each of these elements, and will hold harmless, protect and defend Raising Web Solutions from any claim or suit arising from the use of such elements furnished by Client.
  8. Raising Web Solutions retains the copyrights or ownership to the source code/design of all files produced/developed/designed by Raising Web Solutions during working on this project. After the final payment of the project, rights and ownership of source code/design will be handed over to Client.
  9. Regardless of the place of venue, this contract was entered into in New Delhi, India and any dispute will be litigated or arbitrated in New Delhi, India.
  10. This agreement contained in this “Proposal” constitutes the sole agreement between Raising Web Solutions and Client and its owners.
  11. Any additional work not specified in the proposal will be estimated separately or will require amendment to this proposal.
  12. All the images and text/content etc. are to be provided by the client. In case the client does not provide us with the images, the client gives us assumed right to use the images from the internet. Raising Web Solutions will try its best to use royalty-free images, but once the delivery is done, it is the client's responsibility that they have checked and agreed to the work provided. In case they feel/find that there is something that does not belong to them, they will immediately get back to Raising Web Solutions to get it changed. Once the delivery of the work is done, Raising Web Solutions does not accept the responsibility of any copyright infringement / trademark / performance / damages or any legal liability arising because of any reason. Ideally, it is in the best interest of the client that they provide the images and text/other content at the time of contract only and ensure that work is done as per their agreement.
  13. In case the fees payable by Client are tax deductible at source, the TDS certificate should be provided by Client to Raising Web Solutions at the time of making the due payment. The Professional fees are exclusive of any applicable taxes and other government levies. Any such taxes and/or levies will be payable by Client in retrospective/non-retrospective effect.
  14. In an event Client terminates the project during the development of the website; in this case, the initial advance will not be refunded.
  15. In case of any legal proceeding, the amount paid will not exceed the amount charged to the client.

Payment terms:

  1. 1Monthly maintenance package fees require credit card payment only. No other forms of payment will be accepted for monthly maintenance.
  2. Monthly maintenance package fees will be charged to the client’s credit card on file on the 1st day of every month.
  3. An administrative fee of approx. INR2,000 (US$25) will be charged to the client’s account for any late payments or declined credit card charges.
  4. More than three missed payments in a year may attract termination of the package and the client will need to pay immediately the entire remaining amount on the package.
  5. There are absolutely no refunds for any fees related to the monthly maintenance package.

Termination:

  1. In case Client needs to cancel the auto annual renewal, please inform us in writing at least one month before the renewal date.
  2. For any reason, if the Client decides to terminate an ongoing maintenance package, then they will need to pay the balance amount for the remaining months.
  3. Raising Web Solutions reserves the right to terminate annual maintenance at any time with written notice to the Client.
